NORTHWEST AREA RESIDENTS ASSOCIATION (N.A.R.A)
BYLAWS
(Updated, Revised and Adopted 2003)
BYLAW ONE NAME
The name of this neighborhood association will be:
NORTHWEST AREA RESIDENTS ASSOCIATION (N.A.R.A)
BYLAW TWO PRINCIPAL OFFICE
The principal office of the neighborhood association shall be at the
home of the current president of N.A.R.A, of Las Vegas, County of Clark,
State of Nevada. The association may have offices as may from time to
time be designated by its members or its Executive Committee. Any reference
to “he” throughout these Bylaws shall be known to be as
non- gender.
BYLAW THREE MEMBERSHIP
1. Active Membership
a. Any person who is:
(1) A Homeowner or Resident within the defined boundaries of the neighborhood
association, or,
(2) A property owner within the neighborhood association with intent
to develop the owned property compatible with the existing single family
rural residences within the defined association boundaries; and,
b. Pays the appropriate membership fee, is eligible to become an active
member of this association, with full voting and other privileges, if
qualified under such rules as the membership committee may provide.
2. Defined Association Boundaries. Any person who resides
in or owns land in in the following area shall be eligible for membership
in this neighborhood association if otherwise qualified as defined above.
That area within the following boundaries in the City of Las Vegas,
County of Clark, State of Nevada:
(a). Craig Road - North boundary.
(b). Rancho Road - West boundary. (Known as Tonopah Highway)
(c). Decatur Blvd. - East boundary. (Also the boundary between the City
of Las Vegas and North Las Vegas).
3. Associate Membership: Any person or business interested
in the activities of the neighborhood association may be awarded an
associate or honorary membership under such terms and with such privileges
as the membership committee may determine.
4. Duration of Membership. Membership in this association
may terminate by voluntary withdrawal as herein provided, or otherwise
as provided in these rules. All rights, privileges, and other interest
of a member in or to the association shall cease on termination of membership.
Memberships shall be nontransferable. Any member, by giving written
notice of such intention, may withdraw from membership. Withdrawals
shall be effective on fulfillment of all obligations to the date of
withdrawal.
5. Suspension and Expulsion. If, in a written and signed
communication addressed to the membership committee, any member of the
association shall be charged with conduct detrimental to the image,
objectives, or interests of the association shall be in violation of
its constitution, bylaws, code of ethics, or rules and regulations,
the membership committee shall consider the matter and if it shall decide
to take further action, the corresponding secretary shall send a copy
of the charges to the accused member, who shall be given adequate time
to reply. The membership committee shall then take such further action
as it deem proper. If two members of the membership committee, after
a fair and impartial hearing are satisfied to the truth of the charges,
due notice will be given by the secretary by registered or certified
mail to the accused member at his last known address within14 days from
date of the hearing. The member- ship committee may request the offending
member to resign or may suspend or expel him. Should he decline to resign
on such request, his name shall be stricken from the rolls by the membership
committee.
BYLAW FOUR DUES
1. Dues as required for membership in the Northwest Area Residents Association:
(a). Active Membership: The membership dues will be twelve dollars ($12.00)
per household per year. These are annual dues required for active membership.
(b). Associate Membership: The membership dues will be twelve dollars
($12.00) per household per year. These are annual dues required for
associate membership.
(c). Honorary Membership: There will be no dues for Honorary Membership
in the association.
2. Annual dues required for membership in the association
will be reviewed by October 1st each year.
3. Residents or Associates who anticipate long-term affiliation
with the association may pay in advance at a reduced rate of fifty dollars
($50.00) for five years.
5. Dues are not refundable.
6. From time to time the Executive Board may request additional
donations to help defray the costs and expenses of promoting and/or
upholding association goals in preserving and protecting the integrity
of the neighborhood rural membership lifestyle.
BYLAW FIVE MEETINGS
1. Meetings: Biannual, Regularly Scheduled, and Special:
(a). Biannual. There shall be biannual meetings of the neighborhood
association during the spring and fall of each year, unless otherwise
directed by the Executive Board, for the purpose of presenting association
activities to the community-at-large, to include a review of association
goals and objectives, election of officers as required, status of committee
efforts, potential threats to the community rural lifestyle, and to
solicit resident involvement and first-hand constructive input to enhance
association effectiveness.
(b). Regularly Scheduled Executive Board meetings. There will be a minimum
of ten (10) regularly scheduled Executive Board meetings through out
the calendar year for the purpose of conducting regular association
business, receiving reports, transaction of its financial affairs and
general planning.
(c). Special Meetings. A quorum of the Executive Board will be called
for a Special Meeting at any time at the direction of the president,
or in his absence the president-elect or secretary, or the written request
of a majority of the Executive Board, or on the written request of not
less than one half of the Active association membership. Every effort
should be made to give at least seven (7) days notice of the Special
Meeting. Clear objectives for the meeting are essential.
2. Notification and Promotion of Association Meetings:
a. Notice of the meetings will be issued by the corresponding secretary:
(1). To membership by mail to the address as listed on membership applications.
(2). To membership via e-mail as listed on membership applications.
(3). To the general community, by either mail from general real-estate
listings, or by physically posting announcement fliers at each resident
dwelling.
b. Notice of the biannual general community meetings will be disseminated
at least at least 7 days before the appointed meeting date.
c. Meetings shall be open to ALL residents and business owners within
the association boundaries. 2. Quorum. A quorum at biannual, regularly
scheduled, and/or special notification meetings, shall consist of four
(4) of the seven (7) members of the Executive Board, plus any Active
association members in attendance. An Executive Board member may designate
a proxy as necessary with the approval of the Executive Board members
in attendance.
3. Order of Business. The order of business at bi-annual
and regularly scheduled Executive Board meetings shall be as follows:
a. Call to order and establishment of quorum.
b. Reading of minutes of previous meeting, corrections and approval.
c. Treasurers report.
d. Receiving communications.
e. Reports of officers.
f. Reports of City/Neighborhood issues.
g. Reports from standing and ad hoc committee chairpersons and members.
h. Unfinished business.
i. New business - to include election of officers as required.
j. Comments from N.A.R.A active members and residents.
k. Executive session - if needed.
l. Adjournment.
4. The order of business may be altered or suspended at
any meeting by a majority vote of members present. The use of parliamentary
rules by Roberts Rules of Order shall govern N.A.R.A when not in conflict
with these Bylaws.
BYLAW SIX EXECUTIVE BOARD OFFICERS
1. Elective Officers. The elective officers of the Northwest
Area Residents Association shall be a president, president-elect, recording
secretary, cor- responding secretary, treasurer, parliamentarian, and
historian. Other officers may be established and appointed by the active
members of the association at the annual elections meeting.
2. Terms. The president, president-elect, recording secretary,
corresponding secretary, treasurer, parliamentarian and historian shall
assume their office immediately upon their election. Officers shall
serve for a term of one (1) year, and until successors are duly elected.
3. Executive Board Offices defined:
(a). President. The president shall be the chief officer of the organization
and shall be present at association and Executive Board meetings. He
shall be a member ex officio of all committees. He shall communicate
to the association such matters and make such suggestions as may in
his opinion tend to promote the welfare and increase the usefulness
of the association. He shall perform other such duties as necessary
to the office.
(b). President-elect. The president-elect shall perform all duties of
the president during the absence of the president. He shall also be
a member ex officio of all committees.
(c). Treasurer. The treasurer shall keep an account of all monies received
and expended for use of the association, and shall make disbursements
authorized by the Executive Board or such other persons as the active
association members may prescribe. All sums received shall be deposited
by him in the bank(s) approved by the Executive Board. He shall make
a financial report at regularly scheduled Executive Board meetings,
at the bi-annual general community meetings, and when called on by the
president. Funds may be drawn only on the signature of the treasurer,
and another designated officer. The duties of the treasurer, under the
approval of the membership, may be de- legated to an assistant treasurer.
The funds, books, and vouchers in the treasurer’s hands shall,
with the exception of confidential reports submitted by members, at
all times be subject to verification and inspection by the Executive
Board and association members. At the expiration of the treasurer’s
term of office, the treasurer shall deliver to the successor all books,
money and other property of the associate- ion.
(d). Recording Secretary. The recording secretary shall keep minutes
of the Executive Board, General Bi-Annual Membership and Special meetings.
He shall perform other appropriate duties and functions as assigned
by the president.
(e). Corresponding Secretary.
(1) Notify the Executive Board and Active membership of all meetings
as appropriate.
(2). Send and respond to all correspondence for the association.
(3). Keep the Executive Board apprised of all correspondence sent or
received, and include the Active membership and general community as
appropriate.
(4). Act as chairperson for the quarterly association newsletter and
coordinate for input and issues to focus on for community awareness.
(5). Correspond with the City Of Las Vegas Departments/offices, developers,
and other officials for clarification of issues.
(f). Parliamentarian.
(1). Consult and advise the president, other officers, any committee
members, and other members on matters of parliamentary procedures.
(2). Chair the Constitution and Bylaws Committee.
(3). Interpret Bylaws and Rules
(4). Introduce and report on City, State and National legal issues that
may pertain to N.A.R.A.
(5). Identify speakers to present legal information to N.A.R.A members.
(6). Arrange for the Executive Board to meet with City Officials regarding
N.A.R.A. neighborhood interests.
(7). Use Robert’s Rules of Order newly revised to settle all parliamentary
questions.
(g). Historian. The historian will maintain a chronological document-
ation of calendar year association events to include:
(1). Documentation of elected officers and committee members.
(2). Documentation of association special events and publications.
(3). Documentation of physical changes to the community.
(4). Documentation of issue encounters and outcomes with their effect
on N.A.R.A. as an organization, its residents, and our rural community
status.
(5). Present an annual report to the Executive Board and community-
at-large at the spring biannual meeting.
BYLAW SEVEN ELECTIONS / VOTING
The election of Executive Board officers shall take place in the Fall
of each year at the bi-annual general neighborhood community meeting.
Only active members shall be entitled to vote. Each household member
listed on the resident application is entitled to one vote. Candidates
who receive a simple majority of votes so cast shall be elected.
BY LAW EIGHT COMMITTEES
Executive Committee. The Executive Board shall serve as a committee
to super- vise, control and direct the affairs of the neighborhood association.
It shall execute the policies and decisions of the Active membership
and shall actively promote the association’s objectives. It may
adopt such rules for the conduct of its business as shall be deemed
advisable, and have discretion in the disbursement of funds. It may
in the execution of powers granted appoint subcommittees or agents to
work on specific problems or reports. The Executive Board, acting as
a committee, shall report on its activities at the monthly scheduled
meetings, and to the general member- ship and community at large at
the required bi-annual meetings.
Standing Committees. This neighborhood association will
have at least four (4) standing committees; a membership committee,
Constitution and By- Laws committee, general masterplan committee, and
social committee. Chairpersons of these committees shall be appointed
by the president, and be responsible for directing and coordinating
the affairs of their committee. Members of these committees shall be
appointed by the president and the chairperson of the committee.
1. Membership Committee. The membership committee shall
approve those qualifications required for active membership in the association.
It shall also determined those qualifications required for associate,
subscribing, or honorary membership, and the terms and privileges thereof.
It shall make recommendations as to the imposition and amount of voluntary
donation requests, if any, to be made of and from active and associate
members, and the time for payment thereof. The committee shall report
on matters of interest at bi-annual meetings of the association. The
treasurer shall be a member ex officio of this committee.
2. Constitution and Bylaws Committee. The Constitution
and Bylaws Committee will make a detailed evaluation of the established
constitution and by laws annually. It will make recommendations for
changes to the Executive Board. If a change seems appropriate it will
be presented at the next bi-annual general community meeting for consideration
by the active membership for adoption.
3. General Masterplan Committee. The General Masterplan
Committee will provide information to the Executive Board regarding
activities by N.A.R.A. property owners, developers, city agencies and
political opinions that may have a negative effect on the neighborhood.
Primary focus will be on zoning changes for incompatible building, new
city projects that could effect property taxes, and establishment of
businesses and activities that compromise property values and detract
from the character of a rural preservation community. If appropriate,
the Executive Board will direct the committee to bring the information
to the residents most immediately effected by the action to initiate
a coordinated community intervention with the support of N.A.R.A resources.
4. Social Committee. The Social Committee will be primarily
responsible for the coordination, sponsorship, promotion, and management
of the annual N.A.R.A. Block Party. It may adopt other activities as
the association deems appropriate.
Additional Standing Committees may be established from time to time
by a vote of the Active membership as presented by the Executive Board.
Ad Hoc Committees may be established by the Executive
Board, as appropriate, to gather information and facilitate required
intervention. Ad hoc committees should enlist as many residents as possible
that are directly affected by the event/activity.
Ad hoc committees that show promise for long-term needs should be identified,
and function as a standing committee.
BYLAW NINE MAIL VOTE When, in the judgment of the Executive
Board, a question shall arise that should be put to a vote of the Active
membership, and the board deems it necessary to expedite a special meeting
for that purpose, it may, unless otherwise required by these Bylaws,
submit the matter to the Active membership in writing by mail for a
vote and decision. The question thus presented shall be determined according
to a majority of the votes received back by mail within two weeks after
such question is submitted to the Active membership, provided that,
in each case, votes of at least one half of the mailings shall be received.
Action taken in this manner shall be as effective as action taken at
a duly called meeting.
BYLAW TEN AMMENDING OF BY LAWS
These By-Laws may be amended, repealed, or altered, in whole or in part,
by a majority vote in any duly organized meeting of the Executive Board
and Active membership of the association. A majority vote of the Active
members, or the written approval of a majority of the Active members,
shall be necessary to repeal or amend and adopt additional Bylaws. The
power to repeal and amend Bylaws, or adopt new Bylaws, may be a similar
vote or similar written assent, be delegated to the Executive Board.
This authority may be revoked by a similar written assent.
BY LAW ELEVEN LIABILITIES
Nothing herein shall constitute members of the Northwest Area Residents
Association as partners for any purpose. No member, officer, agent,
or employee shall be liable for the acts or failure to act of any other
member, officer, agent or employee of the association. No member, officer,
agent or employee shall be liable for his acts or failure to act under
these Bylaws, excepting only acts of omission arising out of his willful
malfeasance.
BYLAW TWELVE ETHICAL BEHAVIOR
Endorsements. N.A.R.A will not provide endorsement for a political candidate
or party by use of the association name, endorsement by the elected
Executive Board or official committee member, or by any past Executive
Board or official committee member.
Perception of Influence. N.A.R.A Board and committee members will avoid
any perception of being influenced by special interest sources during
their official capacity of acting in behalf of the N.A.R.A. residents
and in compliance with the constitution and Bylaws.
BYLAW THIRTEEN FUNDS
Finances. This neighborhood association is not intended as a profit
making organization, nor is it founded with the expectation of making
a profit. This association shall use its funds only for objectives and
purposes specified in these Bylaws.
Bonding. Persons entrusted with the handling of association funds may
be required, at the discretion of the Executive Board, to furnish, at
association expense, a suitable fidelity bond.
BYLAW FOURTEEN INSIGNIA
The Executive Board may adopt insignia, logo, colors, badges, stationary,
flags and other similar association identification as it deems desirable.
BY LAW FIFTEEN SEAL OF THE ASSOCIATION
The neighborhood association shall have a common seal, consisting of
a triangle design/stamp bearing the words “NORTHWEST AREA RESIDENTS
ASSOCIATION - CORPORATE SEAL - 1995 - NEVADA ”.
DISSOLUTION
The association may be dissolved by a vote of a two-thirds majority
of its active members present at a regularly schedule meeting. In the
event of dissolution, the property of the association shall be distributed
as closely as possible to the extent and percent of each members financial
interest, as of the date of dissolution, based on the total amount of
each members actual and recorded entrance fee and voluntary donations,
and after all outstanding legitimate depts, encumbrances, liens and
other obligations or records are first satisfied.
